Terms of Service

Last updated: March 2, 2025

1. Acceptance of Terms

By accessing or using Sulala ("Service"), including the AI agent platform, integrations application, and any connected third-party services (e.g., Google, GitHub, Slack), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Sulala provides an open-source AI agent that streamlines workflows and automates tasks. The Service includes integrations with third-party platforms (Google Workspace, GitHub, Slack, Notion, Asana, Dropbox, Zoom, and others) to enable workflow automation and AI-assisted operations. Your use of third-party integrations is subject to those providers' terms and policies in addition to these Terms.

3. Eligibility and Account

You must be at least 13 years of age (or the age of consent in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must accurately represent your identity when requesting access to third-party data (e.g., via OAuth).

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Misrepresent your identity or the purpose for which you request data access
  • Abuse, harass, or harm others through the Service
  • Reverse engineer, decompile, or attempt to extract source code from the Service (except as permitted by applicable open-source licenses)
  • Use the Service to access, aggregate, or analyze user data for surveillance, or to sell or distribute data to third parties for advertising or similar purposes
  • Circumvent security measures or exceed authorized access to any system or data

Use of Google API Services and other third-party APIs must comply with their respective terms of service and policies (e.g., Google APIs Terms of Service, Google API Services User Data Policy).

5. Third-Party Integrations

Sulala integrates with third-party services via OAuth and similar authorization mechanisms. When you connect an integration, you grant us permission to access and use data from that service as described in our Privacy Policy. You may revoke access at any time through the Service or the third-party provider's settings. We are not responsible for the availability, accuracy, or policies of third-party services.

6. Intellectual Property

Sulala and its content, features, and functionality (excluding user content and third-party materials) are owned by us or our licensors. The open-source components we use are subject to their respective licenses. You retain ownership of your data; by using the Service, you grant us a limited license to process and use your data as necessary to provide the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SULALA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sulala and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or for any other reason. You may stop using the Service and disconnect integrations at any time. Upon termination, your right to use the Service ceases; we may retain data as required by law or our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Sulala operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in that state.

12. Changes

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance. If you do not agree, you must stop using the Service.
